Roberto Tallarita will discuss the increasing support for "stakeholder governance", the pledges of major corporate leaders to deliver value to all stakeholders, and the role of corporate governance in mitigating corporate externalities.

This public lecture will draw on his recent research on stakeholderism, U.S. constituency statutes, and the Business Roundtable Statement on the Purpose of a Corporation to reflect on the promise and dangers of relying on managerial discretion to address social problems.

Roberto Tallarita (@r_tallarita) is a Lecturer on Law and an Associate Director of the Program on Corporate Governance at Harvard Law School. Prior to joining Harvard, Roberto was a partner at LMS, an Italian law firm, where he specialized in mergers and acquisitions, private equity, shareholder activism, and debt restructuring. He also worked in the M&A practice group of Kirkland & Ellis in New York.

David Kershaw is Professor of Law at the LSE and Director of the Executive LLM Programme. He is also the General Editor of the Modern Law Review. He is admitted to the New York Bar and is a qualified UK solicitor. Prior to his academic career, he qualified as a Solicitor at Herbert Smith, London and practised corporate law in the Mergers & Acquisitions Group of Shearman & Sterling in New York and London.
