This course will be offered on the Executive LLM during the four year degree period. The Department of Law will not offer all Executive LLM courses every year, although some of the more popular courses may be offered in each year, or more than once each year. Course content

This course will look at the regulation of the market for corporate control and corporate restructurings in the United Kingdom and the United States. The course will look at the regulation of the bid process and at takeover defence regulation in the UK and the US. The course will also look at the development of the private equity industry and at typical fund and transaction structures used in private equity deals. • Introduction to the market for corporate control • Takeover process regulation • The extra-territorial effects of US process regulation • Takeover defence regulation • Private equity and management buyouts: fund structures; deal structures; value strategies • Regulating conflicts of interest in going private transactions • Financial assistance regulation • Effectiveness of the market for corporate control

Teaching

24-26 hours of contact time.

Formative coursework

Students will have the option of producing a formative exam question of 2000 words to be delivered one month from the end of the module’s teaching session by email.
